1. Definitions

In these Terms and Conditions:

• "Agreement" refers to these Terms and Conditions and any service engagement documents
• "Services" means the property search and rental coordination services provided by Meridian Estates
• "Client" or "You" refers to the individual or entity engaging our services
• "We," "Us," or "Our" refers to Meridian Estates
• "Property" means residential real estate on Phuket's southern peninsula

2. Acceptance of Terms

By engaging our services, communicating with us regarding property search, or using our website, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.

You represent that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are engaging our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

3. Service Description

3.1 Nature of Services

Meridian Estates provides professional property search and rental coordination services for luxury residential properties on Phuket's southern peninsula. Our services include:

• Property identification based on client criteria
• Arrangement and coordination of property viewings
• Lease documentation review and coordination
• Communication facilitation with property managers
• Move-in coordination and establishment support (where applicable)
• Lifestyle service introductions (where applicable)

3.2 Service Levels

We offer three service levels with different scopes and fee structures:

• Premium Property Introduction (฿22,000)
• Elevated Rental Coordination (฿55,000)
• Comprehensive Estate Establishment (฿70,000)

4. Client Responsibilities

4.1 Information Accuracy

You agree to provide accurate, complete, and current information regarding your property requirements, budget, timeline, and any other relevant factors. You will promptly notify us of any changes to this information.

4.2 Good Faith Engagement

You agree to engage with our services in good faith, attend scheduled viewings when possible, and communicate any concerns or changes in requirements promptly.

4.3 Independent Verification

While we provide professional guidance, you are responsible for conducting your own due diligence regarding properties, including independent inspections, legal review, and verification of all information before entering into any lease agreement.

4.4 Direct Agreements

You understand that lease agreements are entered into directly between you and property owners or their representatives. Meridian Estates acts as a coordinator and advisor but is not a party to these agreements.

5. Fees and Payment

5.1 Service Fees

Our service fees are separate from property rental amounts and are payable to Meridian Estates for our professional coordination services. Fees are quoted in Thai Baht (THB) and are subject to applicable taxes.

5.2 Payment Terms

Payment terms are specified in individual service agreements. Generally:

• Premium Property Introduction: Payment due upon engagement
• Elevated Rental Coordination: 50% upon engagement, 50% upon lease signing
• Comprehensive Estate Establishment: 40% upon engagement, 40% upon lease signing, 20% upon move-in completion

5.3 Non-Refundable Nature

Service fees are non-refundable once services have commenced, reflecting the professional time and resources committed to your engagement. However, we will work diligently to ensure your satisfaction with our services.

5.4 Additional Costs

Our service fees do not include property rental amounts, security deposits, utility connections, legal fees, or other costs associated with securing and establishing residence. These remain your responsibility.

6. Intellectual Property

All content on our website and in our service materials, including text, graphics, logos, and compilations, is the property of Meridian Estates and is protected by intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our materials without express written permission. Property presentations and analyses provided to you are for your personal use in evaluating properties and may not be shared with third parties without consent.

7. Confidentiality

We maintain strict confidentiality regarding client information, preferences, and communications. We will not disclose your personal information or property search details to third parties except:

• With your explicit consent
• To property managers when coordinating viewings and negotiations
• To professional advisors when necessary for service delivery
• As required by law or legal process

8. Disclaimers and Limitations

8.1 No Guarantees

While we endeavor to provide high-quality service, we do not guarantee that:

• Suitable properties will be available within your timeline or budget
• Property owners will accept lease proposals
• Lease terms can be negotiated to your exact specifications
• Properties will meet all your requirements or expectations

8.2 Property Condition

We coordinate viewings and provide observations based on our experience, but we are not property inspectors or engineers. We recommend independent professional inspections before finalizing any lease agreement.

8.3 Service "As Is"

Our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding service availability, accuracy of information, or fitness for particular purposes.

8.4 Third-Party Actions

We are not responsible for the actions, omissions, or representations of property owners, managers, legal advisors, or other third parties involved in your property search and lease process.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the fees paid by you for those services
• We shall not be liable for any indirect, consequential, special, or punitive damages
• We are not liable for losses resulting from property condition, lease disputes, or third-party actions
• We are not responsible for changes in property availability, pricing, or terms between presentation and lease signing

10. Indemnification

You agree to indemnify and hold harmless Meridian Estates, its directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from your use of our services, violation of these terms, or violation of any rights of third parties.

11. Termination

11.1 By Client

You may terminate the service engagement at any time by providing written notice. Fees for services rendered up to the termination date remain payable and are non-refundable.

11.2 By Meridian Estates

We reserve the right to terminate services if:

• You breach these Terms and Conditions
• You provide false or misleading information
• Your conduct is inappropriate or unreasonable
• Payment obligations are not met

11.3 Effect of Termination

Upon termination, we will cease providing services, though payment obligations for services rendered remain in effect. Confidentiality obligations survive termination.

12. Dispute Resolution

12.1 Informal Resolution

12.2 Governing Law

This Agreement is governed by the laws of Thailand. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Thailand.

12.3 Mediation

Before pursuing litigation, parties agree to attempt resolution through mediation with a mutually agreed upon mediator in Phuket, Thailand.

13. General Provisions

13.1 Entire Agreement

These Terms and Conditions, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Meridian Estates regarding our services.

13.2 Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer your rights under this Agreement without our prior written consent. We may assign our rights and obligations to any successor entity.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, or other force majeure events.

14. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date. Material changes will be communicated to active clients via email.

Your continued use of our services after changes become effective constitutes acceptance of the modified terms. We recommend reviewing these terms periodically.
